These terms of service (the “General Terms”), to include all appendices attached hereto, including the SimplePay Application Form (“Application”), Merchant Services Agreement for Sub-Merchants (collectively, the “Agreement”) govern the Sub-Merchant’s participation in the Services. The Sub-Merchant agrees to be bound by the terms and conditions of the Agreement, as evidenced either by the signature of an authorized representative of the Sub-Merchant on the SimplePay Application or by the transmission of a Transaction receipt or other evidence of a Transaction. The parties to this Agreement shall be the Sub-Merchant as named in the Application that applies to participate in Transactions using SimplePay processing products (“Sub-Merchant,” “Merchant,” or “you”) and SimplePay with its principal place of business at 2377 Gold Meadow Way, Suite 200, Gold River, California 95670 (“SimplePay,” “we,” or “us”) each of which may be referred to individually as a “Party” or collectively as “Parties
