REGISTRATION RIGHTS AGREEMENT (this “Agreement”), dated as of November 22, 2010, is by and among HCA Holdings, Inc., a Delaware corporation (the “Company”), Hercules Holding II, LLC, a Delaware limited liability company (“Holdings”) and each of the other parties hereto. Each of the Persons listed on the signature pages hereto (other than the Company, HCA Inc. and Holdings), each Senior Manager and any Person who becomes a party hereto pursuant to Section 12(c) are referred to individually as an “Investor” and together as the “Investors”.
