This Share Exchange Agreement, dated as of May 24, 2018, (this “Agreement”) by and between Riverbrook Industries Corp., an Arizona limited liability company having an address of 6440 Sky Pointe Dr., Ste 140-412, Las Vegas, NV 89131 (“Riverbrook”) and Onassis Mining Group, Inc., a Nevada corporation having an address of 6440 Sky Pointe Dr., Ste 140-149, Las Vegas, NV 89131 (“ONSS”). For purposes of this Agreement Riverbrook and ONSS are sometimes collectively referred to as the “Parties” and individually as a “Party.”
