This California Competes Tax Credit Allocation Agreement (“Agreement”) is by and between The Azoff Music Company LLC, a Delaware limited liability company (“Credit Recipient”), The Azoff Company Consolidated LLC, a Delaware limited liability company, Global Music Rights LLC, a Delaware limited liability company, Full Stop Management LLC, a Delaware limited liability company, Iconic Artists Group LLC, a Delaware limited liability company, TAC Records LLC, a Delaware limited liability company, and the California Governor’s Office of Business and Economic Development (“GO-Biz”), hereinafter jointly referred to as the “Parties” or individually as the “Party.” Credit Recipient, The Azoff Company Consolidated LLC, Global Music Rights LLC, Full Stop Management LLC, Iconic Artists Group LLC, and TAC Records LLC hereinafter shall collectively be referred to as “Taxpayer.” All capitalized terms not defined in this Agreement shall have the same meaning as in California Revenue and Taxation Code (
