day of , 2018 (the “Effective Date”), by and between the CITY OF DUBLIN, OHIO (the “City”), a municipal corporation duly organized and validly existing under the Constitution and the laws of the State of Ohio (the “State”) and its Charter, JOHNSON CONTROLS FIRE PROTECTION LP, a Delaware limited partnership (“Johnson Controls Fire Protection”) and JOHNSON CONTROLS SECURITY SOLUTIONS LLC, a Delaware limited liability company (“Johnson Controls Security Solutions” and together with Johnson Controls Fire Protection, the “Company” and the Company together with the City, the “Parties”), under the circumstances summarized in the following recitals.
