This VOTING AGREEMENT, dated as of February 3, 2011 (this “Agreement”), is made by and among SL Resort Holdings Inc., a Delaware corporation (“Parent”), Resort Merger Sub Inc., a Texas corporation and a wholly owned subsidiary of Parent (“Merger Sub”), and Robert E.
