made and entered into as of this 27th day of December, 2022 (“Effective Date”), by and between EIGHT POINT WIND, LLC, a Delaware limited liability company (the “Transferor”), and NEW YORK STATE ELECTRIC & GAS CORPORATION, a New York corporation (the “Transferee”); each may hereunder be referred to individually as a “Party” or collectively as the “Parties.”
