This Subscription Agreement (this “Agreement”) is entered into by and between BlackBurgh, Inc., a Pennsylvania corporation (the “Company”), and the undersigned (the “Subscriber”) in connection with the purchase of shares of the common stock (the “Shares”) of the Company at a price of $100.00 per Share. Reference is made to the Stockholders Agreement of the Company (as the same may be amended or amended and restated from time to time, the “Stockholders Agreement”) furnished to the Subscriber herewith.
