This Agreement (“Agreement”) shall be deemed effective as of August 20, 2001 (the “Effective Date”), between New Access Communications LLC (“New Access”), a Limited Liability Company organized under the laws of the State of Minnesota, with offices at 120 South 6th Street, Suite 950, Minneapolis, Minnesota 55402 and Verizon New England Inc., d/b/a Verizon Rhode Island, f/k/a New England Telephone and Telegraph Company, d/b/a Bell Atlantic - Rhode Island (“Verizon”), a corporation organized under the laws of the State of New York with offices at 185 Franklin Street, Boston, MA 02110 (Verizon and New Access may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
