This Asset Purchase Agreement (this “Agreement”) is entered into as of June 24, 2021, by and among VirtualArmour International Inc., a Colorado corporation (“VAI”), VirtualArmour LLC, a Colorado limited liability company (“VA” and together with VAI, each a “Seller,” and, collectively, the “Sellers”), VirtualArmour, LLC, a Delaware limited liability company (“Purchaser”), and VAI, in its capacity as the representative of the Sellers (the “Representative”). Each of the Sellers, Purchaser, and the Representative are referred to sometimes individually as a “Party” and, collectively herein as the “Parties.” Capitalized terms used herein and not otherwise defined have the meanings set forth on Appendix A attached hereto.
