This model document is a “first draft” of indemnification provisions in the context of a private M&A transaction that is a "sign and close" transaction. If the transaction is not a "sign and close" transaction, there will be a time period between signing and closing. There will often be additional rules that will apply if there is a breach of any terms of the purchase agreement between signing and closing. Those provisions are not included in this model document.
