This Limited Liability Company Agreement (this "Agreement") of SeaNSoul CF SPV, LLC, a Delaware limited liability company (the "Company"), is entered into as of March 10, 2022 by and among the Company, SeaNSoul, Inc. (the “Manager”) and any other Person who, after the date hereof, becomes a Member in accordance with the terms of this Agreement (collectively, the "Members"). Unless otherwise noted or defined elsewhere in this Agreement, capitalized terms used in this Agreement have the meanings ascribed herein, as more fully set forth in ARTICLE X.
