WHEREAS, BA has agreed to provide administrative services on behalf of CE as outlined in a service agreement (the “Service Agreement”), and in connection therewith BA will have access to and/or create Protected Health Information (“PHI”) as defined in 45 CFR 160.103 on behalf of the CE that is subject to the federal privacy regulations (the “Privacy Rule”), the federal security regulations (the “Security Rule”), the breach notification regulations and the enforcement rules issued pursuant to the Health Insurance Portability and Accountability Act (“HIPAA”) and codified at 45 CFR parts 160 and 164, and the Health Information for Economic and Clinical Health Act, Title XIII of the American Recovery and Reinvestment Act of 2009 (“HITECH”) and any rules promulgated by the Secretary as may be amended from time to time (collectively the “HIPAA Rules”) as well as any other applicable laws concerning the privacy and security of health information; and
