This Amendment Number 3 4 (“Amendment”) amends the Microsoft Xbox Platform Application Provider Agreement between Crackle, Inc., a Delaware, U.S.A. corporation with its principal place of business at 10202 West Washington Boulevard, Culver City, California 90232 (“Company”) and Microsoft Corporation, a Washington U.S.A. corporation, located at One Microsoft Way, Redmond, Washington 98052 (“Microsoft”) effective as of September 2, 2011, and as amended (collectively, “Agreement”). The parties agree that the Effective Date of this Amendment shall be May 1, 2013 (“Amendment Effective Date”).
