The purpose of this paper is to outline some of the issues which you should consider dealing with in a shareholder agreement, beyond the normal buy/sell covenants. We will look at ways to use shareholder agreements to enable your clients to have the desired level of control over the corporation, where the normal rules in The Business Corporations Act would not suffice. This paper is not meant to set out an exhaustive list of all of the non-buy/sell issues which may be dealt with in a shareholders agreement, but will raise some of the more common problems and suggested solutions in this area.
