This consent and acknowledgment (this “Consent”) between Houlihan Lokey Capital, Inc. (“Houlihan Lokey”) and each of the other parties signatory hereto (individually and collectively, along with their successors and assigns, the “Senior Lenders”) references the attached engagement agreement between American Apparel, LLC. (the “Company”) and Houlihan Lokey dated July 29, 2016 (the “Engagement Agreement”). All capitalized terms not defined herein have the meanings ascribed in the Engagement Agreement.
