This Letter Agreement (this “Agreement”) sets forth the mutual understanding by and between the _________________ (“SLA”) and the National Restaurant Solutions, LLC (“NRAS”), a wholly-owned subsidiary of the National Restaurant Association (“Association”), wherein SLA and NRAS hereby agree to jointly market, sell and distribute to SLA’s membership within SLA’s state, the below-defined AHLEI Program and the related AHLEI Materials under the AHLEI® mark (the “AHLEI® Materials”), and such other materials as mutually agreed.
