This Assignment and Assumption Agreement (this "Assignment Agreement") is made, and is effective, as of April 1, 2021, by and between Franklin Templeton Portfolio Advisors, Inc. ("FTPA"), through its Templeton Portfolio Advisors division, and Templeton Investment Counsel, LLC ("TIC, LLC"), and is consented to, and, with respect to Section 3 and Section 4, acknowledged and agreed by, the Board of Trustees of the City of Sarasota General Employees' Defined Benefit Pension Plan ("Client").
