This End User License Agreement ("EULA") is entered into effective upon the earlier of (a) execution of an agreement, order, or quote or other ordering instrument incorporating the terms of this EULA by reference; or (b) CUSTOMER’s access or use of the Software (the "Effective Date") by and between Medigate Corporation, a corporation established under the laws of Delaware, U.S.A., with principal offices located at 1250 Broadway, Suite 2601, New York, NY 10001, USA (on its behalf and on behalf of its parent company and its affiliates, "MEDIGATE"), and the person, company, or other legal entity identified in the PO incorporating this EULA ("CUSTOMER").
