Sally Holdings LLC, a Delaware limited liability company, and Sally Capital Inc., a Delaware corporation (which we collectively refer to variously as “Sally Beauty,” “Company,” “we,” or “us”), hereby offer (the “Offers”) to purchase for cash, upon the terms and subject to the conditions set forth in this Offer to Purchase (as it may be amended or supplemented from time to time, the “Offer to Purchase”), and in the related Letter of Transmittal (as it may be amended or supplemented from time to time, the “Letter of Transmittal” and, together with this Offer to Purchase, the “Offering Materials”), up to $100,000,000 (excluding Accrued Interest (as defined below)) in aggregate purchase price (as the same may, at our option, be increased, the “Tender Cap”) for the outstanding Notes listed in the table below (collectively, the “Notes” and each series, a “series of Notes”). Subject to the Tender Cap and the 2023 Series Cap (as defined below) in respect of the 5.50% Senior Notes due 2023 (the
