("Cliffs Netherlands"), the Additional Sellers (and, together with CQIM, Cliffs Greene and Cliffs Netherlands, the "Sellers"); (iv) 9201955 Canada Inc. (the "Purchaser"), a wholly-owned Subsidiary of the Parent and (v) Noront Resources Ltd. (the "Parent"), a corporation organized under the laws of the Province of Ontario.
