This Liability Transfer Agreement (“Agreement”) is entered into by and between Phillips 66 Company (“Phillips 66”) and the City of Warrenville (the “City”), and shall become effective upon full execution by Phillips 66 and the City (the “Effective Date”). Phillips 66 and the City shall sometimes hereinafter be referred to, individually, as a “Party” and, together, as the “Parties.”
