This Rock Wool Manufacturing Company Asbestos Trust Agreement ("Trust Agreement") dated as of December 20, 1999 is between Rock Wool Manufacturing Company ("Rock Wool"), as Settlor (the "Settlor" or the "Debtor") and Sylvester F. Miniter, III, (the "Individual Trustee") and Wilmington Trust Company (the "Delaware Trustee"), as Trustees, or such other successor Trustees as may be appointed. All references herein to "Trustee" shall refer to the Individual Trustee and his successors unless otherwise indicated to the contrary. The term "Trustees" shall refer to both the Individual Trustee and the Delaware Trustee as well as their respective successors.
