This Termination, Settlement and Release Agreement (“Agreement”), is dated to be effective as of , 2019 (“Effective Date”) is made between City of Westfield, Indiana, an Indiana municipal corporation (“COW”) and GS Sports Ventures, LLC, an Indiana limited liability company (“GSSV”). For purposes of this Agreement, COW and GSSV are sometimes referred to hereinafter individually as a “Party” and together as the “Parties”. Any terms not otherwise defined shall have the meaning set forth in the Contract (defined below).
