This General Terms and Conditions for Basic Transaction (this “Agreement”) is made between a Company (hereinafter referred to as the "Buyer”) desires to buy its products from Otsuka Chemical Co., Ltd. incorporated and existing under the laws of Japan, having its principal place of business at 3-2-27， Ote-Dori， Chuo-Ku， Osaka， JAPAN， 540-0021,(hereinafter referred to as the "Seller”) (collectively the “Parties” or individually a “Party”), with respect to transactions of the products manufactured and sold by Seller (hereinafter referred to as the "Products"). The Parties shall be deemed to have agreed as follows:
