This Asset Purchase Agreement (this “Agreement”) is entered into as of September 18, 2013, by and among PERSONNEL STRATEGIES INC., a Minnesota corporation (“Target”), each of the stockholders of Target listed on the signature page hereto (each a “Target Stockholder” and, collectively, jointly and severally with Target, “Sellers”), and PROFESSIONAL DIVERSITY NETWORK, INC., a Delaware corporation (“Buyer”).
