GUARANTY AGREEMENT, dated as of June 17, 2011 made by certain Subsidiaries (collectively, the “Guarantors”, each, a “Guarantor”) of BLACKBAUD, INC., a Delaware corporation (the “Borrower”), in favor of WELLS FARGO BANK, NATIONAL ASSOCIATION, as Administrative Agent (in such capacity, the “Administrative Agent”) for the ratable benefit of itself and the financial institutions (the “Lenders”) from time to time parties to the Credit Agreement, dated of even date herewith (as amended, restated, supplemented or otherwise modified, the “Credit Agreement”), by and among the Borrower, the Lenders and the Administrative Agent.
