Morgan Stanley & Co. LLC, Frost Bank and UBS Financial Services Inc. (collectively, the “Underwriters”), acting through Morgan Stanley & Co. LLC (in such capacity on behalf of the Underwriters, the “Representative”), acting solely on behalf of the Underwriters, and not acting as a fiduciary or agent for you, offer to enter into the following agreement (this “Contract”) with Hidalgo County Drainage District No. 1 (the “District”) that, upon the District’s written acceptance of this offer, will be binding upon the District and upon the Underwriters. This offer is made subject to the District’s written acceptance hereof on or before 10:00 p.m., Central Time, on the date hereof, and, if not so accepted, will be subject to withdrawal by the Underwriters upon written notice by the Representative delivered to the District at any time prior to the acceptance hereof by the District.
