WHEREAS, in recognition of their common goal to maintain the financial soundness of Cornerstone Bancshares, Inc., Overland Park, Kansas (“Bancshares”), a registered bank holding company, and its subsidiary bank, Cornerstone Bank, Overland Park, Kansas (the “Bank”), a state member bank, Bancshares, the Bank, the Federal Reserve Bank of Kansas City (the “Reserve Bank”), and the Kansas Office of the State Bank Commissioner (the “Commissioner”) have mutually agreed to enter into this Written Agreement (the “Agreement”); and
