This Settlement Agreement (“Agreement”) is made and entered into this 19 day of December 2016 (“Execution Date”) by and between Aisan Industry Co., Ltd., Franklin Precision Industry, Inc., Aisan Corporation of America, Hyundam Industrial Co., Ltd., (collectively, “Aisan Defendants”), and End-Payor Plaintiffs (as defined below in Paragraph 5), both individually and on behalf of a class of indirect purchasers of Fuel Injection Systems (the “Settlement Class,” as defined below in Paragraph 13).
