This ESCROW AGREEMENT (“Escrow Agreement”) is made and entered into as of December 5, 2011 by and among the VIRGINIA DEPARTMENT OF TRANSPORTATION (the “Department”), an agency of the Commonwealth of Virginia, ELIZABETH RIVER CROSSINGS OPCO, LLC (the “Concessionaire”), a Delaware limited liability company, and SUNTRUST BANK, a Georgia banking corporation, as escrow agent hereunder (the “Escrow Agent”) (the Department, the Concessionaire and the Escrow Agent are herein referred to collectively as the “Parties”).
