AGREEMENT (the “Agreement”), effective as of the 1st day of May, 2015, is by and among Serenitas Credit Gamma Master Fund, LP, a Cayman Islands exempted limited partnership (the “Master Fund”), Serenitas Credit Gamma Offshore Fund, Ltd., a Cayman Islands exempted company (the “Offshore Fund”), Serenitas Credit Gamma Fund, LLC, a Delaware limited liability company (the “U.S. Fund” and, together with the Master Fund and the Offshore Fund, the “Funds”), and LMCG Investments, LLC, a Delaware limited liability company (the “Investment Manager” or “LMCG”), as investment manager or agent. Unless otherwise specified, capitalized terms used but not defined herein shall have the meanings ascribed to them in the Third Amended and Restated Exempted Limited Partnership Agreement of the Master Fund, as amended and in effect from time to time (the “Partnership Agreement”).
