This Mutual Overstrip Lands Agreement (“Agreement”), dated December 5, 2012 (the “Effective Date”), is by and among Spring Creek Coal LLC, a Delaware limited liability company (“SCC”), Arrowhead I LLC, a Delaware limited liability company (“Arrowhead”, and with SCC, the “SCC Parties”) and Decker Coal Company, a joint venture (“Decker”). The term “Parties” shall mean the SCC Parties and Decker and “Party” shall mean either the SCC Parties or Decker.
