This FIRST AMENDMENT (“First Amendment”) is entered into as of DecemberJanuary [__], 2012,2013, by and between Sony Pictures Television Korea Inc., a Delaware corporation operating in Korea through its registered Korean branch office (“Licensor”), and Broadband Media Co., Ltd., a corporation organized and existing under the laws of the Republic of Korea with an address at 7F Yonsei Bldg. 84-11, Namdaemunro 5-ga, Chung-gu, Seoul 100-753 Korea (“Licensee”), and amends the VOD License Agreement entered into by Licensor and Licensee on the same date hereof (“Original Agreement”). For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Licensor and Licensee hereby agree as follows:
