THIS ESCROW DEPOSIT AND TRUST AGREEMENT (this “Agreement”) is dated as of June 1, 2015, and is entered into by and between the CITY OF LIVERMORE (herein the “City”), a general law city and municipal corporation, duly organized and existing under and by virtue of the Constitution and laws of the State of California, and MUFG UNION BANK, N.A., a national banking association duly organized under the laws of the United States of America, as escrow agent (the “Escrow Agent”), in connection with issuance of the City of Livermore Community Facilities District No. 99-1 (Tri-Valley Technology Park) Special Tax Refunding Bonds, Series 2015 (the “Bonds”) pursuant to a Fiscal Agent Agreement (the "Fiscal Agent Agreement"), dated as of June 1, 2015, by and between the City and MUFG Union Bank, N.A., as fiscal agent (the "Fiscal Agent"), for the purpose of refinancing the outstanding $24,030,000 City of Livermore Community Facilities District No. 99-1 (Tri-Valley Technology Park) Special Tax Bonds,
