This Guarantee of Payment and Performance Trust Agreement (“Agreement”) is entered into as of , 2022, by and between the Philip Services Site PRP Group (“PRP Group”), on behalf of the Work Parties whose names and states of incorporation or organization are set forth in Schedule A to this Agreement (“Grantors”), [ ], a [ ] organized and existing under the laws of the State of [ ] (“Trustee”), and the South Carolina Department of Health and Environmental Control (“Beneficiary” or “Department”).
