Funds Transfer Annex Agreement (“FTAA”) is made and entered into as of ____________, and amends that certain Edison Electric Institute Master Power Purchase & Sale Agreement, including the Cover Sheet, the Collateral Annex and the Paragraph 10 to the Collateral Annex dated ______________ _____, between Southern California Edison Company and [Seller Name] (“Master Agreement”), and is intended to supplement each Confirmation and Transaction where Southern California Edison Company is Buyer (hereinafter referred to as “Repurchaser”) and [Seller Name] is Seller. Repurchaser and Seller are hereinafter sometimes referred to individually as a “Party” and together the “Parties.” Capitalized terms used in this FTAA, which are not herein defined, will have the meanings ascribed to them in the Master Agreement.
