This Settlement Agreement and Release (the “Agreement”) is made and entered into by and between Ernest Young (the “Plaintiff” or “Class Representative”), in his individual capacity and on behalf of the proposed Settlement Class (defined in Section I below), and Defendant, The Washington Trust Company (“WTC”). As provided herein, the Class Representative and WTC hereby stipulate and agree that, in consideration of the promises and covenants set forth in this Agreement and upon entry by the Court of a Final Order and Judgment, all claims of the Settlement Class against WTC in the action titled Ernest Young v. The Washington Trust Company, Case No. 1:19-cv-00524-WES-PAS (D.R.I.) (the “Action”) as described and detailed herein shall be settled and compromised upon the terms and conditions contained in this Agreement.
