WHEREAS, in recognition of their common goal to maintain the financial soundness of West Concord Bancshares, Inc., West Concord, Minnesota (“Bancshares”), a registered bank holding company, and its subsidiary bank, Farmers State Bank of West Concord, West Concord, Minnesota (the “Bank”), a state chartered bank that is a member of the Federal Reserve System, Bancshares, the Bank, and the Federal Reserve Bank of Minneapolis (the “Reserve Bank”) have mutually agreed to enter into this Written Agreement (the “Agreement”); and
