This Settlement Agreement (“Agreement”) is made and entered into this 4th day of January 2017 (“Execution Date”) by and between Chiyoda Manufacturing Corporation and Chiyoda USA Corporation (collectively, “Chiyoda”), and End-Payor Plaintiff Class Representatives (“End-Payor Plaintiffs”), both individually and on behalf of a class of indirect purchasers of Automotive Wire Harness Systems (the “Settlement Class”), as more particularly defined in Paragraph 12 below.
