This Agreement, including Amendment No. 1 (TRO Amendment) hereto (“Agreement”) shall be deemed effective as of May 1, 2006 (the “Effective Date”), between Northstar Telecom, Inc. (“Northstar”), a corporation organized under the laws of the State of Nebraska, with offices at 1101 Hills Road, Fremont, NE 68025 and Verizon New England Inc., d/b/a Verizon Massachusetts (“Verizon”), a corporation organized under the laws of the State of New York with offices at 185 Franklin Street, Boston, MA 02110 (Verizon and Northstar may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
