THIS ESCROW DEPOSIT AGREEMENT (the “Agreement”) made and entered into as of December , 2023, by and between CITIZENS PROPERTY INSURANCE CORPORATION (the “Issuer”) and REGIONS BANK, a bank organized and existing under the laws of the State of Alabama and qualified to exercise trust powers under the laws of the State of Florida, as Trustee under the Indenture described hereinbelow, and as escrow agent hereunder (the “Escrow Agent”).
