This Agreement (“Agreement”) shall be deemed effective as of February 20, 2009 (the “Effective Date”), between Selectel, Inc. (“SLT”), a corporation organized under the laws of the State of Nevada, with offices at 1426 S. Atlantic Avenue, Daytona Beach, FL 32118 and Verizon Pennsylvania Inc. (“Verizon”), a corporation organized under the laws of the Commonwealth of Pennsylvania with offices at 1717 Arch Street, Philadelphia, PA 19103 (Verizon and SLT may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
