RECAP, through its affiliate, is the owner of a property known as “Project Bounty” located in Sydney CBD (“Property”) that is in the process of obtaining a development approval for the redevelopment of the site into a mixed use (“DA”) and the Recipient wishes to explore an investment opportunity in the Property, and pursuant to which the Recipient may receive Confidential Information (as defined below) of RECAP, the Property, the Transaction or its Representatives (as defined below). This Agreement is intended to bind the Recipient and prevent it from disclosing the Confidential Information as herein provided or from using the Confidential Information for purposes other than the stated Express Purpose.
