Piper Jaffray & Co., as underwriter (the “Underwriter”), acting on its own behalf and not as fiduciary or agent for the hereinafter defined District, offers to enter into this Bond Purchase Agreement (this “Purchase Agreement”) with the Summerville Union High School District (the “District”), which, upon acceptance hereof by the District, will be binding upon the District and the Underwriter. This offer is made subject to the written acceptance of this Purchase Agreement by the District and delivery of such acceptance to the Underwriter at it’s office prior to 11:59 p.m., California Time, on the date hereof.
