This Cost Participation Agreement (“Agreement”) is entered into between Yellow Iron, LP, LLC, a Montana limited liability company (“Developer”) and the City of Belgrade (“City”), a municipal corporation organized under the laws of the State of Montana collectively “the Parties”) to provide for portions of the reconstruction of the City’s sanitary sewer lift station located on Tract 1A of Certificate of Survey No. 2130A per the records of the Clerk and Recorder of Gallatin County, Montana, recorded under Document No. 2300083 on May 16, 2008 (“Truck Stop Lift Station”), including necessary capacity increases resulting from increased sewer flows due to provide development projects one of which is planned by the Developer (“Yellow Iron Subdivision”), and to define the Parties’ respective rights, obligations, costs, and liabilities regarding this undertaking.
