Grantee acknowledges that the Grantor is subject to certain requirements and restrictions imposed by the United States Internal Revenue Code (the “Code”) on public charities and that the Grantor requires, as a condition of making the grant, that Grantee provide the representations, warranties and covenants contained in this agreement.
