This BASIC Support Agreement (“Agreement”) is between the customer (“Customer”), and the Grass Valley entity each identified on the cover of Customer’s purchase order (“Grass Valley”) is effective as of the first day of the Coverage Period (“Effective Date”), as defined in the Customer’s Proposal for the BASIC Support Agreement (“Proposal”). Subject to the terms and conditions of this Agreement, Grass Valley agrees that Customer and Customer’s Affiliates located in the country set forth on the Proposal (“Country”) are entitled to the technical support services defined in Appendix A hereto (“Support Services’). References under this Agreement to “Customer” will include Customer’s Affiliates located in the Country. An Affiliate is defined as any entity which directly or indirectly controls, is controlled by, or is under common control with the party.
