This Stipulation and Agreement of Settlement (the “Stipulation”) is made and entered into by and between the Court-appointed Lead Plaintiff Alan Narzissenfeld, (“Lead Plaintiff”), on behalf of himself and all other members of the Settlement Class (defined below), on the one hand, and individual Defendants Jonathan Webb (“Webb”), David Lee (“Lee”), and Loren Eggleton (“Eggleton” and collectively with Webb and Lee, the “Individual Defendants”) (Lead Plaintiff and the Individual Defendants collectively, the “Parties”), on the other, and embodies the terms and conditions of the settlement of the above-captioned action (the “Action”).
