Subscription Agreement For Trust Units No: TO: AP Capital REIT (the “Trust” or the “Issuer”) The undersigned (the "Subscriber") irrevocably subscribes for and agrees to purchase the number of Trust Units, from such Class (each a "Class", each a "Unit" and collectively the "Units") of the Issuer set out below, at the aggregate subscription price (the "Purchase Price") set out below, upon and subject to the terms and conditions set out in "Terms and Conditions of Subscription for Trust Units of AP Capital REIT", attached to this page (this page and the attached together being referred to as the "Subscription Agreement"). The certificates representing the Units should be registered and delivered as indicated below. The minimum subscription is set out in the Offering Memorandum and consequently subscriptions for less than the set minimum amounts may not be accepted by the Trust.
